Your Agreement to Terms of Use. This website (the “Site”) is operated by Ronald Trac Law (“RTL”). The Site provides information, which may include but is not limited to: profiles on professionals, articles, publications, information, events, data and other materials (the “Content”). The Site is made available to you subject to your compliance with these terms and conditions of use and the terms and conditions of RTL’s Privacy Policy (collectively, the “Terms”). By accessing or using the Site, you agree to be bound by, and comply with, the Terms and represent that you understand and can agree to the Terms. If you do not agree to be bound by, and comply with, the Terms, you are not permitted to access or use the Site.
Modifications. RTL reserves the right to modify the Terms at any time. You should review the Terms regularly. By accessing or using the Site after any such modifications, you agree to be bound by, and comply with, the Terms then posted. If any modification is not acceptable to you, you must cease accessing and using the Site.
No Lawyer-Client or Other Relationship Created. Your access to, or use of, the Site does not create a lawyer-client, other professional-client or fiduciary relationship. Your use of the Site may facilitate access to, or communications with, partners, employees, and consultants of RTL (“RTL Personnel”) by way of email or otherwise via the Site. The receipt of any such communications by RTL Personnel does not create a lawyer-client, other professional-client or fiduciary relationship. The Site or the availability of the Content does not suggest that any RTL Personnel practises professionally in any jurisdiction other than in which he or she is qualified.
Legal Advice Not Provided. The Content does not constitute legal or other professional advice. The Content should not be relied upon as accurate, reliable, complete, current, timely or fit for any particular purpose, without receiving advice from a lawyer or other relevant professional. You should seek specific legal advice by contacting a RTL Personnel or your own legal counsel in relation to your specific legal issues. No one should act, or not act, on the sole basis of the Content.
Currency of Content. The Content is provided solely for informational purposes. The Content is current as of the date of first publication but may no longer be accurate as a result of the passage of time, changes in the law or subsequent court decisions.
Communications Not Confidential. RTL does not guarantee the confidentiality of any communications made by you via email or otherwise through the Site and cannot guarantee that any such communication is protected by solicitor-client or any other professional privilege. If you wish to provide information of a confidential or sensitive nature to RTL Personnel, please contact one of our lawyer or other staff first directly by telephone.
Permitted Uses. You may access and use the Site and the Content only in accordance with all applicable laws and the Terms. Subject to the Terms, RTL grants to you a non-exclusive, non-transferable and revocable licence to access and use the Site and the Content only to display and save on your own computer, download and print a copy of the Content for your use, provided that the Content is not modified (“Permitted Uses”). By accessing or using the Site or the Content, or by displaying, saving, downloading or printing a copy of any Content, you do not acquire any other right or licence to the Site or the Content.
Linking. Where you provide a link to the Site from another website, RTL reserves the right to require you to disable such link. The Site may, for convenience, provide links to websites of other parties. The content in any website to which the Site provides a link is not provided by, or under the control of, RTL, and if you choose to access any such website, you do so entirely at your own risk. Neither RTL nor any RTL Personnel endorses or republishes any content contained on any website that links to, or may be linked from, the Site or provides any representation, warranty or guarantee regarding the quality, accuracy, reliability, completeness, currency, timeliness, non-infringement, or fitness for any purpose of any such website or the content thereon.
Prohibited Activities. You may not access the Site or use the Site or the Content in any way or for any purpose that is unlawful. Without the prior written consent of RTL, you may not access the Site or use the Site or the Content for any purpose that is outside the scope of the Permitted Uses, or that violates the rights of RTL, any RTL Personnel, or any other person. Without limiting the foregoing, without such consent, you may NOT engage in, or perform, directly or indirectly, any of the following activities with the Site or the Content or any portion thereof:
No distribution. Making available, distributing, displaying, posting, disseminating, publishing, republishing, retransmitting, communicating to the public, or broadcasting;
No modification. Creating a derivative work, modifying, translating, selecting, arranging, merging, compiling, or otherwise combining with other data or other content or framing from or on another website;
No scraping. Scraping, whether screen scraping, database scraping, or any other activity intended to collect, store, reorganize, summarize or manipulate any Content, whether by an automatic program or a manual process;
No transaction. Selling, licensing, sublicensing, or engaging in any other commercial transaction relating to the Site, the Content or any reproduction of all or any portion thereof in any medium;
No decompilation. Decompiling, disassembling, reverse engineering, or other exploitation of the Site, its architecture or the underlying software or code; and
Not outside permitted uses. Any activity that is outside the scope of activity permitted by the Terms.

Copyright of RTL. All Content, including all (i) text, data and other literary works; (ii) logos, designs, graphics, images, photographs, artwork and other artistic works; (iii) musical works and other sounds; (iv) videos and all audio-visual works; (v) performances; (vi) other materials; (vii) selections, arrangements, compilations, modifications and enhancements of all of the foregoing; (viii) software, including program code that may execute on the Site’s servers or that may be embedded or be downloadable from individual webpages on the Site; and (ix) the architecture and layout of the Site and webpages thereon, is protected by copyright owned by, or licensed to, RTL.
Risks You Assume. Access to, and use of, the Site and the downloading of Content are done at your own risk. RTL does not represent, warrant or guarantee that the Site or the Content is compatible with your computer systems or that the Site or the Content is or will be free of viruses, worms, trojan horses, or disabling devices or other code that manifests contaminating or destructive properties or has harmful effects. General Provisions. The Terms, including any documents referenced herein, constitute the entire agreement between RTL and you pertaining to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and RTL with respect to the Site or the Content. A printed version of the Terms and of any notice given in electronic form will be admissible in judicial administrative or arbitral proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any failure by RTL to insist upon or enforce strict performance of any provision of the Terms will not be construed as a waiver of any provisions or right. If any of the provisions contained in the Terms are determined to be void, invalid or otherwise unenforceable by an arbitrator or court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein or the affected provision in a jurisdiction outside the jurisdiction of such court.
Governing Law. The interpretation, validity, effect and enforcement of the Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. These laws apply to the access and use of the Site or the Content by you, notwithstanding any conflicts of laws principles, your domicile, residency or physical location, or the location of the RTL office or any RTL Personnel with whom you may communicate or deal. The Site and the Content are intended for use only in jurisdictions where they may lawfully be provided for use.
Dispute. All disputes arising out of or in connection with this agreement, or in respect of any legal relationship associated with or derived from this agreement, shall be arbitrated and finally resolved, pursuant to the National Arbitration Rules of the ADR Institute of Canada, Inc. The place of arbitration shall be Toronto, Ontario, Canada. The language of the arbitration shall be English. However, in the event that RTL determines that any breach or other violation of the Terms, or any violation of the intellectual property, privacy or other rights of RTL or any RTL Personnel, does or will result in immediate or irreparable harm to RTL or the applicable RTL Personnel, RTL and the applicable RTL Personnel may seek relief in the way of interim, temporary and permanent injunctions and such other and further relief as a court may deem just and proper. You hereby consent and submit to the jurisdiction of the courts of the Province of Ontario and the Federal Court of Canada in any such action or proceeding and agree not to commence any action or proceeding except in Toronto, Ontario, Canada.

Privacy Policy
This privacy policy applies to Ronald Trac Law and its affiliates, including RTL Management Inc., (“RTL”, “we”, “us”, “our”) and explains how we collect, use, disclose and otherwise process personal information. Generally speaking, “personal information” is information about an identifiable individual, subject to more particular definitions or interpretations under applicable law. This privacy policy does not apply to personal information about employees, partners or other temporary or permanent staff, consultants, volunteers or other individuals assigned to RTL (collectively, "Members of RTL") or to any information that is not personal information as defined in or interpreted under applicable law.
RTL offers and provides legal services and information to a wide range of clients. We collect, use, disclose and otherwise process personal information as necessary to offer and provide clients and potential clients with these legal services and information and generally to fulfill our professional legal responsibilities and manage our business. As lawyers, we have a professional obligation to keep confidential all information we obtain within a lawyer-client relationship.
The Information We Collect and How We Use It
Information in relation to clients, potential clients and others, generated in the course of our practice
The personal information we collect in relation to clients and potential clients includes:
name, address, email address, contact details, nature of the client or potential client’s legal issue, financial, credit, billing and account information, and other incidental information relating to the services we provide;
information material to your legal issue, for example, financial, property ownership, family, employment, disciplinary, benefit or tax information, and any other information you give to us when you ask or instruct us to act for you;
legal issue or area of law of interest;
information about individuals we collect in the course of acting for clients, including personal information about employees of clients, referrals, adverse parties and parties with parallel interests, other counsel, mediators and arbitrators, witnesses and potential witnesses, expert witnesses and consultants; and
information about you contained in communications within RTL and between us and you, whether online or offline.
We use this information to:
assess whether we can act for you, including to avoid conflicts of interest;
offer and provide legal information and services to you;
communicate with you regarding the services you request and to respond to your requests and inquiries;
administer our client time and billing databases, and issue and collect accounts;
provide you with material on our services and developments in the law;
develop and use our knowledge management and precedent systems and permit Members of RTL to consult, for precedent purposes, documents that we have created on your behalf and that contain personal information;
manage and administer our business, including to avoid negligence and protect you and us against error and fraud; and
comply with legal, regulatory and self-regulatory requirements, and to fulfill our legal and professional obligations.
If you do not wish to receive materials about our services and legal developments, you may ask us not to contact you for these purposes.
Information in relation to potential Members of RTL
If you apply for a position at RTL, we will collect the personal information contained in, and generated in relation to, your application package, in order to evaluate your application and assess whether to offer you a position at RTL. For candidates who are not offered or do not accept a position, we normally retain this information for a reasonable period in the event that an appropriate position becomes available or that you reapply to RTL. If you accept a position at RTL, the information will be retained in accordance with our privacy procedures applicable to the personal information of Members of RTL.
Information about RTL Alumni
We collect and retain personal information about professionals who have formerly been Members of RTL (“RTL Alumni”), including name, contact details and employment status and history. We use this information to maintain a record of where RTL Alumni are subsequently employed or practising. If you wish, you may ask us not to retain this information.
Information about guests of and visitors to RTL
RTL collects information about its guests and visitors. Specifically, visitors to the offices of RTL may be asked to provide their name, telephone number and organization name. This information is retained by RTL as long as necessary for security or emergency preparedness purposes. RTL may also install video cameras in public-access areas on its premises and will post signs notifying individuals of the existence and purpose of any such cameras. We use the information we collect about guests of and visitors to RTL to enable us to act responsibly in the event of a health or other crisis or emergency and to enhance workplace security.
Information about our agents, vendors, and suppliers
RTL may collect information about third-party agents, vendors, and suppliers (“Service Providers”) who provide goods, services and information to RTL. This information would include name and contact information, banking information and information about experience and qualifications. We use this information to assess suitability for particular assignments; to contact you, where necessary, in relation to the goods, services and information you are providing to RTL; and to pay you for your services. We may also use this information to provide you with material regarding our services or developments in the law. If you do not wish to receive materials about our services and legal developments, you may ask us not to contact you for these purposes.
How We Collect Information About You
We typically collect personal information directly from you or through our interaction with you. However, sometimes we may obtain personal information about you from other sources. For example, in relation to clients, in addition to personal information that you provide, we may collect personal information from:
a government agency or registry;
third parties, such as your real estate agent, your financial institution, your insurance company, or your employer; and
other law firms or agents who have acted for you in the past, where these parties have information relevant to the matter in which we are acting for you.
In relation to potential Members of RTL, in addition to personal information that you provide, we may collect personal information from:
the third parties you provide as references in support of your application; and
individuals involved in the evaluation and review process.
How We Disclose and Share Your Information
We disclose the personal information we collect about clients or other individuals we deal with to third parties where:
the legal services we are providing to you require us to give your personal information to third parties, such as a lender in a real estate mortgage transaction;
we are required or authorized by law to do so, for example, where the rules of court require us to provide personal information to the opposite side and the court in a litigation matter or where a court issues a subpoena or order;
we engage an expert or consultant on your behalf in a litigation matter;
we retain another law firm or agent to act or assist us in acting on your behalf;
it is necessary to collect fees, for instance, to a financial institution or collection agent;
necessary to comply with regulatory (including self-regulatory) requirements or requests from governmental authorities, for example, disclosure of personal information reasonably requested or required by governing bodies of the legal profession in the course of its oversight of our practice;
you have instructed us to disclose your personal information to a third party for a designated purpose; and
we reasonably believe a third party requesting your information is your agent.
We may disclose personal information about RTL Alumni in order to provide an employment reference to a third party where you have requested the provision of the reference.
Service Providers. RTL may also transfer your personal information to Service Providers hired to administer or provide products, services or information on our behalf. We require our Service Providers to use your personal information only as necessary to perform the services we have hired them to provide. Business Transactions. We may also use and disclose personal information to parties connected with the proposed or actual financing, insuring, sale or other disposal of all or part of our business or assets, for purposes connected to evaluating and performing the transaction. These purposes may include determining whether to proceed with the transaction or business relationship, or fulfilling any records or other reporting requirements to those parties. Where applicable, we will take steps to require that such parties treat your personal information in accordance with this privacy policy and use and disclose it only for the purposes for which it was collected, including to provide the services or information that RTL would otherwise provide to you and generally to carry on RTL business.
Our Website
As most websites do, we use automatic data collection technologies to track usage patterns on our website. Each time you visit our website, our server records your Internet service provider, IP address, the date and time of your visit, the pages you visit and the documents downloaded, the searches you performed, and the referring URL’s you came from. We use this information to optimize our website service. We also use cookies to collect information about your visit to our website.
For your convenience, we may offer links from our website to other websites. However, RTL is not responsible for, nor do we accept any liability for, the personal information collection, use and disclosure practices of other entities to which our website may link. You should consult the privacy policies of these other entities before providing any personal information on their websites.
Legal Basis for Processing
We process personal information with consent except where otherwise permitted or required by law. For example, we may be permitted to collect, use or disclose personal information without consent in order to collect a debt you owe to us, to comply with a subpoena or court order, or to comply with the rules of court regarding the production of records. Your consent may be express or implied, depending on the circumstances and the sensitivity of the personal information in question. For example, in most cases, a client’s consent to the collection, use and disclosure of personal information by RTL may be implied by the fact that the client has engaged RTL to provide legal services, where the collection, use and disclosure of personal information relates to the performance of those services by RTL.
We may also rely on one of the following legal grounds (as appropriate) to process personal information:
To enter and perform a contract with you or to perform any steps you require from us before entering into a contract.
To pursue our legitimate business interests in establishing, managing or concluding our business relationship with you.
Where you have specifically consented to us processing your personal information.
To comply with our legal obligations and establish, exercise or defend our legal rights.
Where personal information is processed with consent, you may (subject to contractual and legal restrictions) refuse to provide your consent, or choose to withdraw your consent, to our processing of your personal information by contacting us at info@ronaldtraclaw.com or at 416-900-0372. Note that if you refuse to consent, or withdraw your consent, to certain processing of your personal information, we may not be able to provide certain services.
Security and Retention
RTL has implemented reasonable physical, organizational and technological security measures to safeguard the personal information in our custody or control. These include safeguards to protect personal information against loss or theft, as well as unauthorized access, disclosure, copying, use, or modification. Authorized Members of RTL, agents and mandatories have access to your personal information.
You can generally visit the RTL website without providing any personal information. However, given that electronically submitted data is not 100 percent secure, we make no warranties as to the security of any such personal information that you submit, which you do at your own risk. Personal information is retained as described in this privacy policy, and otherwise in accordance with our record retention policies. Our record retention periods are established taking into account requirements of privacy laws, the purposes for which the information was collected, legal and regulatory requirements to retain the information for minimum periods, limitation periods for taking legal action, and our business purposes.
Access, Correction and Other Rights
We maintain a file of your personal information for the purposes described in this privacy policy. This file is accessible by contacting us. If you wish to request access to, or correction of, your personal information in custody or control of RTL, please make your request in writing to us at info@ronaldtraclaw.com. We may need to verify your identity before searching for or providing you with personal information. In some circumstances, we may not provide access to your personal information, for example, if it contains the personal information of other persons, if it constitutes confidential commercial information, if it is protected by solicitor-client privilege, or if it is otherwise not properly the subject of an access request.
Since we predominantly use personal information to provide legal services, it is important that the information be accurate and up to date. Please inform us as soon as possible of any changes to your personal information.
You may also have the right, in specified circumstances, to object to our use of your personal information, to request the deletion of your personal information or restrict its use, to request a copy of the information you have provided to us to use for your own purposes, or to lodge a complaint with the supervisory authority.
